Terms of Service

1. Acceptance of Terms

By accessing or using Sphot (“Service”, “we”, “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you and Sphot One (a business operating from Bangalore, Karnataka, India).

You must be at least 18 years old and capable of entering into a legally binding contract under applicable law to use this Service.

2. Description of Service

Sphot provides an autonomous Instagram Reels production service. We analyse your video footage, generate scripts and motion graphics using artificial intelligence, produce edited Reels, and publish them to your Instagram account via the Instagram Graph API on your direction.

3. User Accounts

You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating an account. You are responsible for all activity that occurs under your account. Notify us immediately at support@sphot.one of any unauthorised use.

4. AI-Generated Content — Ownership and Indemnification

Subject to your compliance with these Terms, you own the output content (edited Reels, captions, graphics) generated by Sphot at your direction (“Output”). Sphot claims no ownership over your Output.

Because Output is generated by AI systems based on footage and instructions you provide, you bear full responsibility for ensuring that your Input material and the resulting Output do not infringe any third-party intellectual property rights, including copyright, trademark, or publicity rights.

You agree to indemnify, defend, and hold harmless Sphot, its officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to (a) your use of the Service, (b) your Input material, (c) your Output, or (d) your violation of these Terms.

5. Acceptable Use

You agree not to use the Service to:

  • Upload or generate content that is unlawful, defamatory, obscene, or harmful to minors
  • Infringe any third-party intellectual property rights
  • Circumvent, disable, or interfere with security features of the Service
  • Reverse-engineer or extract proprietary algorithms or models
  • Use automated means to access the Service in a manner that exceeds reasonable use
  • Resell or sub-license the Service without our written consent

6. Payments and Refunds

All payments are processed in Indian Rupees (INR) through Razorpay. We do not store your card or payment instrument details. Subscription fees are charged at the start of each billing period.

Rendered Reels are non-refundable once production has commenced, as computational resources are consumed in the process. For subscription plans, you may cancel at any time; cancellation takes effect at the end of the current billing period with no pro-rata refund, except where required by applicable law.

Billing disputes must be raised within 30 days of the charge by contacting billing@sphot.one.

7. Copyright and DMCA Policy

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please submit a takedown notice per our DMCA Policy.

We will terminate the accounts of users who are repeat infringers of third-party intellectual property rights.

8. Data Handling

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Termination

We may suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days post-termination before deletion, unless required otherwise by law.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated Output will meet your expectations.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Sphot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service or these Terms, even if advised of the possibility of such damages. Our aggregate liability for any claim shall not exceed the amounts paid by you to Sphot in the 3 months preceding the claim.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved by mutual negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in English in Bangalore, Karnataka. The courts of Bangalore shall have exclusive jurisdiction over any matter not subject to arbitration.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Service. Continued use after the effective date of changes constitutes acceptance.

14. Grievance Officer (IT Rules 2021)

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (Rule 3(2)), users may address grievances related to content or data handling to our designated Grievance Officer:

15. Open Source Notices

Sphot uses open-source software. The following components require attribution under their respective licenses:

  • FFmpeg — licensed under the GNU Lesser General Public License v2.1 (LGPL-2.1). Source code available at ffmpeg.org. Used via the @ffmpeg/ffmpeg WebAssembly package for client-side video processing.
